Jordan V. Rood

Jordan Rood is an attorney in the firm’s emerging companies and business practice groups. Jordan’s practice focuses on the representation of startup, emerging and established technology companies in connection with various corporate matters and transactions, including intellectual property, securities, finance, acquisitions, strategic relationships, reorganizations, and governance.

Jordan makes regular presentations to entrepreneurs and their attorneys regarding securities regulation,with a particular emphasis on transactions that are exempt from registration, including transactions exempt under federal Rules 506(b) and 506(c), Regulation D, and Washington State’s crowdfunding exemption.

Prior to joining the firm, Jordan worked as associate general counsel at the Washington State Department of Financial Institutions - Securities Division where he provided substantive review and commentary on registered and exempt securities offerings for a wide range of issuers, including technology start-ups, pooled investment funds, business development companies, real estate investment trusts, commodity pools, equipment programs, and oil and gas partnerships. He also drafted interpretive opinions and provided counsel on federal and state securities law issues regarding securities transactions, investment advisers, broker-dealers, and franchise matters.

While in law school, Jordan worked for the in-house legal teams of both a NASDAQ-listed software company and a cutting edge scientific research institute, where he worked on multiple corporate and intellectual property matters, including due diligence for the sale of the software company. This combination of regulatory and in-house experience provides Jordan with the perspective to understand important matters from the perspective of his clients.

Jordan has served on the board of directors for Washington Lawyers for the Arts (WLA), where he has been a volunteer since law school. He is currently the Secretary of the WLA board.
